1. Acceptance of Terms

By accessing or using the AdHawk platform ("Service") at https://adhawk.biz, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including visitors, clients, and administrators.

2. Description of Service

AdHawk is an AI-powered advertising management platform that connects to your third-party advertising accounts (Meta, Google Ads, TikTok, and others), analyzes campaign performance data, and provides optimization recommendations and automated actions on your behalf. The Service includes a client dashboard, AI action engine, reporting tools, and related features.

3. Accounts and Access

• You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access.
• You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization.

4. Third-Party Platform Connections

When you connect your advertising accounts to AdHawk via OAuth:

• You grant AdHawk permission to access, read, and act upon your advertising data as described in our Privacy Policy and as authorized by you within the platform.
• You represent that you have the legal right to connect those accounts and authorize AdHawk to act on them.
• AdHawk will only execute actions (e.g., pausing ad sets, adjusting budgets) that you have explicitly approved, either manually or through your configured autonomy settings.
• You remain solely responsible for your advertising accounts, spend, and compliance with each platform's terms and policies.

5. Subscription and Billing

• AdHawk offers subscription plans billed monthly. A 14-day free trial is included with all plans; your card will be charged on day 15 unless you cancel before then.
• All fees are non-refundable except as required by applicable law or as explicitly stated in a written agreement with AdHawk.
• We reserve the right to change pricing with 30 days' notice. Continued use after the notice period constitutes acceptance of the new pricing.
• Payments are processed by Stripe. By subscribing, you also agree to Stripe's terms of service.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any regulations.
• Attempt to gain unauthorized access to any part of the Service or its infrastructure.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use the Service to run campaigns that violate the advertising policies of Meta, Google, TikTok, or any other connected platform.
• Resell or sublicense access to the Service without our prior written consent.

7. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. AdHawk does not guarantee specific advertising results, ROAS improvements, or campaign outcomes. AI-generated recommendations are advisory in nature and should be reviewed by you before execution.

8. Limitation of Liability

To the maximum extent permitted by law, AdHawk and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from your use of or inability to use the Service. Our total liability to you for any claim arising from these Terms or the Service shall not exceed the amount you paid to AdHawk in the 3 months preceding the claim.

9. Termination

You may cancel your subscription at any time from your account settings. We reserve the right to suspend or terminate your account if you violate these Terms, with or without notice. Upon termination, your access to the Service will cease and we will handle your data in accordance with our Privacy Policy.

10. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the platform. Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.
